IMPORTANT NOTICE (READ FIRST)

These Terms form a legally binding agreement between you (“User”, “you”) and SHOWREELS (the “Company”, “we”, “us”) governing:

  • your access to and use of the SHOWREELS platform and related services (the “Services”); and
  • any paid subscriptions or purchases you make through the Services.

If you do not agree, do not use the Services.

1) DEFINITIONS

“Account” means a registered user account on SHOWREELS.

“Content” means any video, film, audio, music, still, image, GIF, text, metadata, credits, biography, logo, brand name, project title, and any other material uploaded, imported, generated, extracted, embedded, transmitted, or displayed through the Services.

“Skin(s)” means SHOWREELS’ proprietary, high-end crafted design templates / layouts (including UI/UX structure, styling, visual composition rules, responsive behavior, and template logic) used to create mini-sites, showreels pages, and/or website pages inside the Services.

“Fonts” means typefaces and font files used within SHOWREELS Skins/templates and the Services. Certain Fonts used within Skins are designed and paid to be 100% exclusive to SHOWREELS (i.e., commissioned/licensed for exclusive use by the Company, as applicable).

“Media Library” means the feature that provides access to Stills and GIFs extracted from films (and related extracted media assets). For clarity: the Media Library is not a “secure vault” guaranteeing permanent storage of your original projects; it is primarily an extraction/access layer for stills/GIFs.

“Explore” means the feature that enables users (subject to permissions) to access and browse public projects and public assets shared by the community.

“Public” / “Private” refers to the visibility setting you choose for a profile, project, showreel link, embed, or any Content.

“Showreel Link” means a shareable URL generated by the Services to view Content and/or a mini-site.

“Embed” means an embed code or embedded player/page made available through the Services, allowing Content or a mini-site to be displayed on third-party websites.

“Subscription” means a paid plan, seat, add-on, or recurring billing arrangement.

“PDPO” means the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong.

“ETO” means the Electronic Transactions Ordinance (Cap. 553) of Hong Kong.

“Copyright Ordinance” means the Copyright Ordinance (Cap. 528) of Hong Kong, including safe harbour provisions relevant to online service providers.

2) WHO WE ARE / SCOPE OF SERVICES

SHOWREELS provides a next-generation platform to create, store, present, share, organize, and connect through video-centric mini-sites and related tools, including:

  • showreel and mini-site creation via Skins;
  • generation of Showreel Links;
  • embedded players/pages for third-party sites;
  • optional website publishing via SHOWREELS subdomain and/or custom domain connection (where available);
  • stills and GIFs extraction and asset handling;
  • internal messaging between users (where available);
  • AI-assisted analysis and enrichment features (where available), including descriptive keywords/phrases and metadata suggestions.

We may add, remove, or modify features to improve the Services, comply with law, or protect the platform.

3) ELIGIBILITY / ACCOUNT SECURITY

You must be legally capable of entering a contract under applicable law. You are responsible for:

  • maintaining the confidentiality of login credentials;
  • all activity occurring under your Account;
  • promptly notifying us of unauthorized access.

4) ACCEPTABLE USE POLICY (STRICT)

You agree not to use the Services for any unlawful, harmful, deceptive, or abusive purpose, including (without limitation):

4.1 Illegal / harmful content and conduct

You must not upload, share, embed, message, or distribute Content that:

  • violates any applicable law or regulation;
  • infringes intellectual property or publicity/privacy rights;
  • is obscene/indecent in violation of Hong Kong law (including Cap. 390 where applicable);
  • contains hate, harassment, threats, incitement to violence, discrimination (including transphobic content), or targeted abuse;
  • enables wrongdoing (fraud, malware, spyware, hacking, or instructions facilitating illegal acts).

4.2 Misuse of messaging

If messaging exists inside SHOWREELS, you must not use it to:

  • harass, threaten, extort, impersonate, scam, or groom;
  • send unlawful spam or unauthorized marketing;
  • coordinate illegal activity;
  • send Content that you do not have the right to transmit.

4.3 Platform integrity

You must not:

  • reverse engineer, scrape, spider, or systematically extract data or Content (except as permitted by the Services);
  • bypass access controls;
  • probe security;
  • overload infrastructure;
  • interfere with other users’ experience.

We may suspend or terminate Accounts for violations.

5) YOUR CONTENT: OWNERSHIP, WARRANTIES, AND LICENSES

5.1 You retain ownership — but you must have rights

You retain ownership of your Content. However, you represent and warrant that:

  • you own or have obtained all rights, licenses, consents, and permissions needed to upload, host, edit, transform, extract, publicly display, embed, and distribute the Content through the Services;
  • your Content does not infringe copyright, neighboring rights, music sync/master rights, performers’ rights, trademarks, privacy/publicity rights, or any third-party rights;
  • you have cleared all music and audio rights necessary for the uses you enable (including public display and embedding).

5.2 Rights and responsibility for “Public” content

If you set a profile/project/showreel/asset to Public, you additionally warrant you have the right to:

  • publicly display and distribute it through SHOWREELS;
  • allow third parties to view it;
  • allow embedding on third-party websites if you enable Embed.

You acknowledge that public Content may show or include credits, project titles, brand names, logos, metadata, and associated information where provided by you or derived from your Content/inputs.

5.3 License you grant to SHOWREELS (required to operate)

You grant SHOWREELS a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers), transferable license to:

  • host, store, cache, reproduce, transcode, stream, display, distribute, and otherwise make your Content available according to your settings (public/private);
  • generate Showreel Links and Embeds;
  • create stills, GIFs, clips, thumbnails, previews, and other derived assets from your video Content as part of the Services;
  • perform technical modifications necessary for delivery (format conversion, bitrate/size changes, rendering, and compression).

This license continues for as long as your Content remains on the Services, and for a reasonable period afterward as necessary for backup, caching, legal compliance, dispute resolution, or enforcement.

5.4 AI-assisted features (analysis/enrichment)

Where AI features are provided, you authorize SHOWREELS to process your Content and metadata to:

  • extract descriptive keywords/phrases and generate organizational suggestions;
  • propose bio enrichment or project information based on inputs you provide or sources you connect (if applicable).

You remain responsible for verifying accuracy and rights. AI outputs may be incorrect or incomplete.

6) EMBEDS, EXTERNAL WEBSITES, AND DOMAIN PUBLISHING

6.1 Embedding on third-party sites

SHOWREELS may provide Embed functionality. You acknowledge:

  • third-party sites are not controlled by SHOWREELS;
  • embedded display depends on the third party’s compatibility and policies;
  • you remain responsible for having rights to embed and publicly communicate the Content.

We may disable Embed for specific Content if required by law, rights claims, safety, or policy enforcement.

6.2 Website publishing and domain connection

SHOWREELS may allow:

  • publication under a SHOWREELS subdomain (e.g., showreels.ai/…); and/or
  • connection to a custom domain you control.

You represent you have rights/authority to use any domain you connect and you will not use domain publishing for unlawful, infringing, misleading, or fraudulent purposes.

7) COMMUNITY / “EXPLORE” / PUBLIC CONTENT DISCOVERY

If Explore is enabled, it provides access to public community projects and public assets, subject to permissions. Explore does not grant you ownership of others’ Content.

You must not:

  • re-upload public community Content elsewhere unless you have explicit rights;
  • misrepresent authorship;
  • remove credits or rights notices.

8) INTELLECTUAL PROPERTY: OUR PLATFORM, SKINS, AND FONTS (NO COPYING)

8.1 Our IP

The Services (including software, code, UI, UX, workflows, documentation), plus all Skins/templates, visual systems, layouts, design rules, and Fonts used in Skins, are owned by or licensed to SHOWREELS and protected by IP laws.

8.2 Skins, template design, and font exclusivity

You acknowledge:

  • Skins/templates and their design are exclusively SHOWREELS’;
  • Fonts used within Skins have been designed and paid to be 100% exclusive to SHOWREELS, where applicable;
  • you receive only a limited right to use them within the Services as intended.

8.3 Strict prohibition on reproduction / copying

Except where expressly permitted in writing, you must not:

  • copy, reproduce, clone, imitate, extract, repackage, distribute, or create derivative works of Skins/templates or their structure/design;
  • copy or extract the exclusive Fonts for use outside the Services;
  • attempt to recreate “look-alike” templates by reverse engineering, screenshot-to-code, scraping, or other means.

Any unauthorized use may result in immediate termination and legal action.

9) STORAGE, REDUNDANCY, AND NO ABSOLUTE GUARANTEE

9.1 Redundant storage (best efforts)

We intend to store Content on our servers with redundancy, including replication and/or backup to a separate “cold” environment (where implemented).

9.2 No absolute guarantee; user must keep copies

We do not guarantee that Content will never be lost, corrupted, or unavailable, including in rare scenarios where:

  • multiple storage systems fail simultaneously;
  • a provider suffers outage, bankruptcy, or catastrophic failure;
  • war, terrorism, civil unrest, governmental actions, embargo, or sanctions occur;
  • natural disasters (fire, flood, earthquake), extreme weather, or widespread power/network failures occur;
  • cyberattacks, ransomware, supply-chain compromises, or critical vulnerabilities occur;
  • solar storms / geomagnetic events or other extraordinary events impact infrastructure.

You must maintain your own secure copies of all Content to ensure 100% preservation.

10) MODERATION, TAKEDOWNS, AND RIGHTS CLAIMS

We may remove or restrict Content (or suspend Accounts) if we believe Content violates law, these Terms, or third-party rights.

Hong Kong’s Copyright Ordinance includes “safe harbour” provisions for online service providers, which generally require cooperation mechanisms regarding infringement notices. Accordingly, we may implement notice and action processes, including disabling access, requesting information, or terminating repeat infringers.

11) PRIVACY AND PERSONAL DATA

Where we process personal data, we aim to do so consistent with the PDPO (Cap. 486) and the Data Protection Principles.

You acknowledge that:

  • you may upload personal data (e.g., names, bios, credits, contact details) and you must have the rights/consents to do so;
  • if you choose Public settings, your profile and associated data may be visible to others;
  • we may use processors/vendors to operate the Services, subject to appropriate safeguards.

12) TERM, SUSPENSION, AND TERMINATION

12.1 Term

These Terms apply from the moment you access or use the Services.

12.2 Suspension/termination by SHOWREELS

We may suspend/terminate access immediately for: violations, legal compliance, safety, security incidents, fraud, or risk management.

12.3 Termination by you (cancellation)

You can cancel a Subscription at any time. Cancellation takes effect at the end of the current billing period:

  • monthly Subscriptions end at the end of the current month;
  • annual Subscriptions end at the end of the current annual term;

unless otherwise required by mandatory law or explicitly stated at checkout. After termination, access to paid features may cease, and Content may be deleted after a retention period described in policy/plan rules, except where legally required to retain.

PART B — TERMS OF SALE (CGV): PRICING, BILLING, SUBSCRIPTIONS

13) PRICING SECTION

13.1 Pricing is shown in-product / at checkout

All fees, plan names, billing cycles, seat counts (if applicable), taxes, and total payable amounts are shown on the pricing page and/or at checkout.

13.2 Monthly vs Annual; discount messaging

Your screenshots show a Monthly / Annually selector and the message: “Save up to 20% with an annual plan!” This indicates annual billing may apply a discount versus monthly billing, but the exact discount and final totals are confirmed at checkout.

13.3 Screenshot pricing conflicts

The enforceable amount should be the one displayed at checkout in the user’s order summary. (Note: discrepancies in screenshots for Freelance €20/€24 and Business €400/€460 are resolved by the checkout total).

13.4 Taxes and payment costs

Prices may be exclusive of taxes (VAT/GST/similar), currency conversion, bank fees, and any payment processor charges, unless explicitly stated otherwise at checkout.

13.5 Changes to pricing

We may change pricing and plan structures prospectively. If you are already subscribed, changes apply at renewal or as otherwise notified and permitted by law.

Important: feature lists may evolve; “Coming soon” items are not guaranteed delivery dates unless explicitly promised in writing.

15) BILLING, RENEWAL, AND PAYMENT AUTHORIZATION

Subscriptions renew automatically unless you cancel.

By subscribing, you authorize us (and our payment processors) to charge your payment method on a recurring basis until cancellation.

If payment fails, we may retry, suspend paid features, or terminate the Subscription.

16) REFUNDS

Unless required by applicable mandatory law or expressly stated at checkout: fees are non-refundable; partial period refunds are not provided when you cancel mid-cycle; annual plans remain active until the end of the annual term after cancellation.

17) FORCE MAJEURE

We are not liable for failure or delay caused by events beyond our reasonable control, including (without limitation): war, terrorism, civil unrest, government action, sanctions, natural disasters, network outages, power failures, supplier failures, labor disputes, pandemics, cyberattacks, and extreme space-weather/solar events.

18) DISCLAIMERS / LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Services are provided “as is” and “as available”;
  • we do not guarantee uninterrupted availability, perfect accuracy of AI outputs, or compatibility with all devices/third-party sites;
  • we are not liable for indirect, incidental, special, consequential damages, loss of profits, loss of business, reputational harm, or loss of data;
  • our total aggregate liability is limited to the amount paid by you to SHOWREELS for the relevant Subscription period, except where liability cannot be excluded by law.

19) ELECTRONIC CONTRACTING

You agree that contracts may be formed electronically, and that electronic records will not be denied legal effect solely because they are electronic, consistent with Hong Kong’s ETO (Cap. 553).

20) GOVERNING LAW / JURISDICTION

These Terms are governed by the laws of Hong Kong SAR. Courts of Hong Kong SAR have exclusive jurisdiction, unless mandatory law requires otherwise.

21) CHANGES TO THESE TERMS

We may update these Terms. Material changes will be communicated via the Services or email. Continued use after the effective date constitutes acceptance.
